1. NAME AND PURPOSE:
a: Name of Organization: McNAB SHEPHERD REGISTRY (MSR)
b: Purpose of Organization: The McNab Shepherd Registry is devoted to the continued protection, betterment, advancement and welfare of the McNab Shepherd.
2. Board of Directors:
a. Board Role, Size and Compensation: The board is responsible for overall policy and direction of the association, and delegates responsibilities of day-to-day operations to (whomever decided, i.e. Ex Director, committee, admin, etc) . The board shall have up to nine(9), however not fewer than three (3) directors. The board receives no pay or compensation.
b. Terms: Board of directors shall serve two (2) years with a maximum of three (3) terms.
c. Board Elections or Vacancies: Shall be filled by the Board, with recommendations of Admin, Ex Director, etc.
a. The officers of the board shall consist of a President (chair), Vice-President (vice -chair), Secretary and Treasure nominated by the board.
b. The elected officers shall serve a term of two (2) years
c. The President shall preside at all Board meetings, appoint any committee members and preform other duties as associated with the office. The Vice-President shall assume the duties of the President in the event of the Presidents absence. The Secretary shall be responsible for the minutes of the Board, keep all approved minutes in a minute book and send copies of the minutes to all. The Treasurer shall keep a record of the organizations budget and prepare financial reports as needed.
a. The Board may appoint standing and ad hoc committees (impromptu committee directed at getting problem fixed that was not expected) as needed.
b. Any committee appointment may be terminated by majority vote of the Board of Directors upon written notice to the appointee(s)
c. Board members may appoint successors to those persons whose services have been terminated.
a. A majority of Board of Directors constitutes a quorum. In absence of a quorum no formal action shall be taken except to adjourn the meeting to a subsequent date.
6. Conflict of Interest:
a. Any member of the Board who has a financial, personal, or official interest in, or conflict (or appearance of conflict) with any matter pending before the Board of such a nature that it prevents or may prevent that director from acting on the matter in an impartial manner will offer to the board to voluntarily excuse him/herself and will vacate his seat and refrain from discussion and voting on said item.
7. Fiscal Policies:
a. The fiscal year of the McNab Shepherd Registry shall be June 1st thru May 31st.
9. Electronic Meetings:
a. Board of Directors may use e-mail, chat rooms, message boards and other means of electronic communication to facilitate MSR business.
a. These by-laws may be amended by a two-thirds vote of the Board of Directors present at any meeting, provide a quorum is present and provide a copy of the proposed amendment(s) and they are provided to each director at lease one (1) week prior to said meeting.
The McNab Shepherd Registry (MSR) may be dissolved at any time by the written consent of not less than two-thirds of the members. In the event of the dissolution of the MSR, all of its assets remaining after payment of all costs and expenses of such dissolution shall be distributed to a charitable organization for the benefit of dogs as selected by the Board of Directors.
